01 Acceptance of Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and AgentTeal ("Company," "we," "us," or "our"), governing your access to and use of the AgentTeal platform, website, and services (collectively, the "Service").
By accessing or using the Service, you confirm that you are at least 18 years old, have the legal authority to enter into this agreement, and agree to comply with these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.
02 Description of Services
AgentTeal provides a cloud-based platform that enables users to create, configure, deploy, and monitor autonomous AI agents. The Service includes:
- Agent creation and configuration tools
- Autonomous AI agent hosting and execution on cloud infrastructure
- Integration with third-party communication channels (Telegram, Slack)
- Access to AI language models via AWS Bedrock
- Usage dashboards and monitoring tools
- Credit-based billing and usage tracking
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.
03 Account Registration
To use AgentTeal, you must create an account by providing accurate, current, and complete information. You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activity that occurs under your account
- Notifying us immediately of any unauthorized use at support@agentteal.com
- Keeping your account information up to date
We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.
04 Billing, Credits & Payments
AgentTeal uses a subscription-based model with monthly credit allocations. Payments are processed securely through Paddle, our authorized reseller and merchant of record.
Subscription Plans:
- Starter - $29/month, 6,000 credits (~6M tokens)
- Pro - $99/month, 20,000 credits (~20M tokens)
- Business - $299/month, 60,000 credits (~60M tokens)
Credits: 1 credit = 1,000 tokens consumed by AI model inference. Credits reset monthly on your billing date and do not carry over.
Billing: Subscriptions are billed in advance on a monthly basis. By subscribing, you authorize Paddle to charge your payment method on a recurring basis.
Refunds: All sales are final. We do not offer refunds for unused credits or partial billing periods. If you believe a charge is in error, contact us within 7 days at support@agentteal.com.
Taxes: Paddle, as merchant of record, handles applicable sales tax and VAT collection. Prices shown may be exclusive of local taxes where applicable.
05 Acceptable Use Policy
You agree to use AgentTeal only for lawful purposes. You must not use the Service to:
- Send unsolicited bulk communications (spam) in violation of applicable law
- Scrape, harvest, or collect data without authorization from target platforms
- Engage in fraud, deception, or other unlawful activity
- Violate any applicable local, national, or international law or regulation
- Infringe on third-party intellectual property rights
- Distribute malware or engage in phishing or social engineering attacks
- Impersonate individuals, organizations, or entities
- Access third-party services in violation of their terms of service
- Use the platform to harm, harass, or threaten others
We reserve the right to investigate violations and suspend or terminate accounts accordingly, without refund.
06 AI-Generated Content
AgentTeal facilitates access to AI language models. You acknowledge that:
- AI-generated outputs may be inaccurate, incomplete, or inappropriate
- You are solely responsible for reviewing and approving any AI-generated content before external use
- We do not guarantee the accuracy, reliability, or fitness of AI outputs for any purpose
- You own content generated by your agents, subject to the underlying model providers' terms
- We may monitor agent activity to enforce these Terms and ensure platform safety
07 Intellectual Property
The AgentTeal platform, brand, software, and all associated intellectual property are owned by AgentTeal and protected by applicable intellectual property laws.
You retain ownership of content you create through the platform. By using AgentTeal, you grant us a limited, non-exclusive license to process your data and agent configurations solely to provide the Service.
You may not copy, modify, distribute, reverse-engineer, or create derivative works based on our platform without prior written permission.
08 Data & Privacy
Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using AgentTeal, you consent to the collection and use of your data as described therein.
You are responsible for ensuring that any personal data you process through your agents complies with applicable data protection laws, including GDPR where applicable.
09 Service Availability & SLA
We target 99.9% uptime for the AgentTeal platform. However, we do not guarantee uninterrupted access. The Service may be unavailable due to:
- Scheduled maintenance (we will endeavor to provide advance notice)
- AWS infrastructure incidents or third-party outages
- Force majeure events
- Security incidents requiring emergency intervention
We are not liable for losses resulting from Service downtime or interruption.
10 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AGENTTEAL AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Lost profits, revenue, or data
- Losses resulting from AI agent actions or decisions
- Third-party claims arising from your use of the Service
- Interruption of business operations
Our total liability to you for any claim shall not exceed the amount you paid us in the 3 months preceding the claim.
11 Termination
Either party may terminate the agreement at any time. You may cancel your subscription through your account settings or by contacting support@agentteal.com.
We may suspend or terminate your account immediately if you:
- Violate these Terms or our Acceptable Use Policy
- Fail to pay fees when due
- Engage in activity that may harm AgentTeal or its users
Upon termination, your agents will be stopped and your data will be retained for 30 days before permanent deletion, unless legally required to retain longer.
12 Changes to Terms
We may update these Terms from time to time. When we make material changes, we will notify you by email or prominent notice on the platform at least 14 days before changes take effect. Continued use of the Service after changes constitutes your acceptance of the new Terms.
13 Governing Law & Disputes
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which AgentTeal is registered, without regard to conflict of law principles.
Any disputes arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration or the courts of competent jurisdiction.
